Terms of Service

These Terms govern your use of ScopeSign, operated by E Marketing Solutions LLC (“ScopeSign,” “we,” “us”). By creating an account or using the apps, sites, or signature pages, you agree to them.

1. What ScopeSign is

ScopeSign is a tool that lets contractors create change orders, deliver them to their customers by SMS, collect electronic signatures, and keep signed records. ScopeSign is software, not a party to your contracts — the agreement created by a signed change order is between the contractor and their customer.

2. Electronic signatures

By using ScopeSign, contractors and their customers consent to transact electronically and agree that electronic signatures and records may be used in place of paper (per the U.S. ESIGN Act and applicable UETA state laws). Every signed change order includes a timestamped, tamper-evident record. Customers may request a paper copy of any signed document from their contractor at no charge.

3. Your responsibilities as a contractor

You confirm that: (a) the customers you message are your actual customers with an active project, and you have their consent to contact them by text about that project; (b) the information in your change orders is accurate; (c) you hold any licenses your trade and state require; and (d) you will comply with applicable law, including telemarketing/texting laws such as the TCPA. You are responsible for activity under your account. Do not use ScopeSign to send marketing, spam, or messages unrelated to a genuine project.

4. Subscriptions and billing

Creating and sending change orders is free. ScopeSign Pro (document export and related features) is sold as an auto-renewing subscription — currently $19/month or $149/year — billed through your Apple App Store or Google Play account. Subscriptions renew automatically unless cancelled at least 24 hours before the end of the period, and are managed/cancelled in your app store account settings. Fees are non-refundable except where required by law or the app stores’ policies. Prices may change with notice; changes apply at your next renewal. We may apply fair-use limits to free SMS sending to prevent abuse.

5. Your content

You own your change orders, photos, and documents. You grant us the limited license needed to store, process, transmit, and display them to operate the service. Signed records are preserved as created; you can delete your data as described in our Privacy Policy.

6. Acceptable use

No unlawful use, no infringing content, no attempting to break, probe, or overload the service, no misrepresenting your identity or business, and no using ScopeSign to deceive any signer about what they are signing.

7. Disclaimers

ScopeSign is provided “as is.” We work hard to keep it fast and available, but we don’t guarantee uninterrupted service, carrier delivery of any particular message, or that any document will achieve a particular legal outcome. To the fullest extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

8. Limitation of liability

To the fullest extent permitted by law, E Marketing Solutions LLC will not be liable for indirect, incidental, special, consequential, or punitive damages, or lost profits, and our total liability for any claim will not exceed the greater of $100 or the amounts you paid us in the 12 months before the claim.

9. Indemnification

You will defend and indemnify E Marketing Solutions LLC against claims arising from: (a) your change orders, work, or dealings with your customers; (b) messages sent to your customers through your account, including claims under the TCPA or similar texting laws where you lacked required consent; (c) your violation of these Terms or applicable law. We’ll notify you promptly of any such claim and reasonably cooperate at your expense.

10. Termination

You can stop using ScopeSign and delete your account at any time. We may suspend or terminate accounts that violate these Terms or create risk for other users, with notice where practicable. Sections that by their nature survive (your content rights, disclaimers, liability limits) survive termination.

11. Governing law; arbitration; class-action waiver

These Terms are governed by the laws of the State of New York, without regard to conflicts rules.

Arbitration: Any dispute arising out of these Terms or ScopeSign that can’t be resolved informally will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, rather than in court. Either party may instead bring a qualifying claim in small-claims court. Before filing arbitration, you agree to email us a description of the dispute and give us 30 days to resolve it.

Class-action waiver: Disputes will be arbitrated only on an individual basis. Neither party may participate in a class action, class arbitration, or representative proceeding. If this waiver is found unenforceable for a particular claim, that claim must proceed in court, not arbitration.

Opt-out: You may opt out of this arbitration agreement by emailing us within 30 days of first accepting these Terms with the subject “Arbitration opt-out.”

12. App store terms

Purchases through Apple’s App Store or Google Play are also subject to their terms. Apple and Google are not parties to these Terms and have no obligation to provide support for ScopeSign; where required, they are third-party beneficiaries of this section and may enforce it.

13. Miscellaneous

If any provision of these Terms is unenforceable, the rest remains in effect. Our failure to enforce a provision isn’t a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or asset sale. We aren’t liable for delays or failures caused by events beyond our reasonable control. These Terms plus our Privacy Policy are the entire agreement between us regarding ScopeSign.

14. Changes

We may update these Terms; material changes will be notified in-app or by email, and continued use after the effective date constitutes acceptance.
